Abstract
This paper explores the use of emerging distributed ledger technology in capital markets infrastructure with the aim of improving the efficiency of private securities issuance, settlement and trading. It emphasises the current inefficiencies in the private securities market and highlights the implications of the tokenisation process of private securities and the advantages of DLT-native digital and tokenised securities over securities issued in the traditional form. The paper also highlights the aspects of issuance of securities on permissioned or semi-public Blockchain versus public Blockchains and the use of Blockchain protocol level smart contracts versus token-based smart contracts for adoption by capital markets. It stresses the legal grounds for security tokens and the position of regulators towards a new form of securities issuance.

Author's Biography
Ulyana Shtybel holds PhD in Economics, is Co-founder, Board Member and Vice President at HighCastle Technologies Ltd, inter alia an operator of a platform, HighCastle.co, which provides end-to-end solutions for compliant offering, issuance, distribution, management and smooth trading of digital securities. Ulyana co-founded and led two FinTech incubation programmes, FinTech Master and Open Banking Lab, at the 1991 Open Data Incubator in 2017–2018. Ulyana has experience in senior executive management, corporate finance and investment banking, having worked as Executive Director of The Warsaw Stock Exchange Representative Office in Ukraine, Head of Banking and Financial Services Committee at the American Chamber of Commerce, Alfa Bank Ukraine, United Nations Department of Economic and Social Affairs (US).
